Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
James W. Whalen, age 80, a member of the Board of Directors (the “Board”) of Targa Resources Corp. (the “Company”) retired as a director of the Company, effective December 10, 2021. Mr. Whalen has served as a director of the Company since October 27, 2005. There are no disagreements between Mr. Whalen and the Company on any matter relating to the Company’s operations, policies or practices.
Mr. Whalen was a member of the Board’s Risk Management Committee. In connection with Mr. Whalen’s retirement, the Board size is being reduced from 13 to 12 directors.
